1. Agreement Overview

By accessing the software and subscription services provided by SFR Analytics Inc. ("SFR Analytics") you, the end-user ("Client"), agree to comply with these terms and conditions, as well as any additional terms agreed upon between SFR Analytics and the Client under any previously executed Purchase Agreement ("Agreement").

2. Service Acceptance

By using the software or subscribing to SFR Analytics, you become a Client of SFR Analytics. The services, including access to real estate data analytics, market intelligence, borrower and lender analytics, off-market deal listings, API access, MCP (Model Context Protocol) integrations, and related features, are subject to your acceptance of these Terms of Use without modification. By using the services, you signify your unconditional acceptance of these Terms. SFR Analytics reserves the right to modify these Terms at any time by posting changes on its website.

3. Subscription and Billing

Monthly subscription fees will be processed as detailed during signup, including any applicable taxes and fees. Clients will be notified of any changes to subscription pricing in advance.

Subscriptions include access to upgrades, enhancements, or fee-based services as specified during signup. Certain features may be available only through additional paid tiers.

Subscriptions can be cancelled through account settings at any time. Upon cancellation, access will continue until the end of the current billing period, and no refunds will be provided for partial months.

In the event of a failed payment, SFR Analytics may attempt to process the payment using alternative methods, such as retrying the original payment method or using a backup payment method provided by the Client.

4. License Grant and Restrictions

4.1 General License

SFR Analytics grants the Client a non-exclusive, non-transferable license to access and use the provided data, information, and services ("SFR Data") during the subscription term.

4.2 License Restrictions

The Client agrees not to:

  • Share access with unauthorized third parties.
  • Engage in data mining or excessive usage.
  • Use services for unauthorized commercial purposes.
  • Reproduce or distribute services to third parties.
  • Use services for unauthorized marketing or valuation models.
  • Combine services with unauthorized products.
  • Extract data elements without permission.
  • Engage in unauthorized professional services.

4.3 Off-Market Deal Listings Restrictions

Clients additionally agree not to:

  • Post false or misleading property information.
  • Share confidential deal information with unauthorized parties.
  • Misrepresent property ownership or authority to sell.
  • Post duplicate or spam listings.
  • Manipulate pricing or market data.
  • Engage in discriminatory practices.
  • Violate applicable real estate laws.

5. Team Accounts and Access

5.1 Authorized Users

Team Accounts are intended for designated Team Members who are granted access by the Primary Account holder. The Primary Account holder is responsible for managing permissions and ensuring all Team Members comply with these Terms.

  • Users must be directly associated with the Primary Account, either as employees or as consultants directly engaged in activities related to the use of SFR Analytics.
  • Each Team Member must accept the Terms.
  • Team Members are limited to employees or direct consultants.
  • Monetary exchange for access is prohibited.
  • Each Team Member must use their own unique login credentials. Sharing of credentials between users is prohibited.
  • Each set of login credentials is for use by a single individual only. Concurrent access from multiple devices, locations, or sessions using the same credentials is subject to monitoring and may result in suspension of the account. SFR Analytics reserves the right to implement technical measures to enforce single-user access.
  • The Primary Account holder must promptly remove access for any Team Member who is no longer authorized (e.g., departed employees or concluded consulting engagements).
  • Team Members must report any suspected unauthorized access or credential compromise.

5.2 Off-Market Deal Access

Team Members with access to off-market deal features must additionally:

  • Maintain confidentiality of deal information.
  • Follow listing visibility restrictions.
  • Adhere to communication protocols.

5.3 API Access

Clients with API access are subject to the following additional terms:

  • Rate Limits. API usage is subject to rate limits as documented in SFR Analytics' API documentation. Exceeding rate limits may result in temporary or permanent suspension of API access.
  • Single-Purpose Keys. API keys are issued to a specific Client and may not be shared with, transferred to, or used on behalf of third parties.
  • No Redistribution. Data obtained through the API may not be resold, sublicensed, redistributed, or made available to third parties, whether in raw or derivative form, without prior written consent from SFR Analytics.
  • No Caching Beyond Reasonable Use. Clients may cache API responses for reasonable operational purposes (e.g., reducing redundant calls) but may not build or maintain a persistent database that replicates a material portion of SFR Analytics' data.
  • Attribution. Any permitted display of SFR Analytics data must include appropriate attribution as specified in the API documentation.
  • Revocation. SFR Analytics reserves the right to revoke API access at any time for misuse or violation of these Terms.

5.4 MCP Access and Authorized AI Applications

Subject to Client's subscription, applicable documentation, rate limits, and these Terms, SFR Analytics permits access to the Services through SFR Analytics' official APIs, the official @sfranalytics/mcp package, and SFR Analytics' hosted MCP endpoint (collectively, the "Authorized Interfaces"). Client may use the Authorized Interfaces through AI assistants, IDEs, agents, orchestration tools, or other applications that Client configures using Client's credentials ("Authorized Applications"), provided that each such Authorized Application acts solely on Client's behalf and remains under Client's control.

Client is responsible for all acts and omissions of its Authorized Applications and any person or system using Client credentials. Public availability of software, SDKs, packages, or documentation does not grant any right to access SFR Data without a valid subscription and valid credentials.

Third-Party AI Services. If Client elects to use the Services through a third-party AI assistant or platform (such as Claude, ChatGPT, Cursor, or similar tools), Client acknowledges that such third party may receive, process, retain, or display prompts, tool requests, and outputs under that third party's own terms and privacy practices. SFR Analytics is not responsible for the privacy practices, data retention, or model-training policies of third-party AI services. Client is solely responsible for selecting third-party AI services and configurations that comply with these Terms and all applicable law.

6. Acceptable Use Policy

6.1 General Usage

  • Use the services only for lawful purposes, complying with all applicable laws and regulations. Any illegal activity will result in immediate termination of access.
  • Refrain from nuisance activities, such as spamming, phishing, or any behavior that negatively impacts the performance or usability of the service for others.
  • The services are intended for personal or internal business use only, and may not be resold or used for unauthorized commercial gain without explicit written permission from SFR Analytics.
  • Respect for Rights. Users must respect intellectual property and proprietary rights of SFR Analytics and any third parties.
  • No Unauthorized Distribution. Do not share, distribute, or publish any content provided by SFR Analytics without proper authorization.
  • Personal Use Limitations. The services are intended for personal use or internal business purposes only. Clients must not misuse the data for unauthorized external commercial purposes.
  • No Service Abuse. Users must avoid overloading or disrupting the normal functioning of the platform, such as by sending automated queries or attempting to hack system protocols.
  • Access Restrictions. Access to the service is limited to authorized users only. Any attempt to bypass security measures or gain unauthorized access will result in termination.
  • Automated Access Limitations. Use of automated systems, scripts, or bots to access or interact with the services is strictly prohibited, except through SFR Analytics' Authorized Interfaces (including official APIs and MCP endpoints) in accordance with applicable usage terms and rate limits. Unauthorized scraping, crawling, or automated access outside of Authorized Interfaces will result in immediate termination.

6.2 Off-Market Deal Requirements

  • Accurate Property Information. Property listings must contain truthful and current details about the property, including location, size, and any relevant attributes.
  • Verified Ownership/Authority. Clients must verify they have the proper ownership or authority to list the property before posting.
  • Confidentiality Compliance. All parties must adhere to confidentiality requirements, including safeguarding sensitive deal information from unauthorized disclosure.
  • Professional Communication. All communication must be conducted in a professional manner, avoiding abusive or misleading language.
  • Fair Housing Compliance. Clients must comply with all applicable fair housing laws to prevent discrimination in listings and transactions.
  • Proper Documentation. Appropriate documentation, such as proof of ownership, must be submitted for each property listed.
  • Timely Updates. Property listings must be updated regularly to reflect changes in availability, price, or any other pertinent details.
  • Ethical Practices. Clients must engage in ethical practices, ensuring transparency and fairness throughout the listing and transaction process.

6.3 Use by Competitors Prohibited

Access to the services is not permitted for individuals or entities who are direct competitors of SFR Analytics, or who intend to use the services for competitive analysis, benchmarking, or any purpose related to building or enhancing a competing product or service, without prior written consent from SFR Analytics.

This includes but is not limited to:

  • Accessing the platform to analyze our data, features, or functionality for competitive purposes.
  • Using our data to build, enhance, or train competing analytics products, valuation models, AI assistants, or decision-support systems.
  • Downloading, scraping, or otherwise extracting data for use in competing services.
  • Reverse engineering our algorithms, methodologies, or proprietary processes.
  • Using information obtained from our services to develop or improve competing real estate analytics platforms.
  • Using the Services, SFR Data, outputs, metadata, or performance characteristics to build, test, benchmark, train, ground, or improve a competing or substitute product, dataset, search tool, underwriting workflow, or other decision-support system, whether directly or indirectly and whether the competing functionality is offered by Client, an affiliate, a model provider, or any third party.

Any violation of this provision will result in immediate termination of access and may result in legal action. SFR Analytics reserves the right to verify the identity and business purpose of any user suspected of competitive use.

6.4 Contact Data and Outreach Restrictions

Client may use contact information made available through the Services only for lawful, targeted business purposes consistent with Client's subscription and these Terms. Client shall not use the Services or any SFR Data to:

  • Send unsolicited bulk emails, texts, social messages, or voicemail drops.
  • Place or initiate any autodialed, artificial-voice, prerecorded-voice, or telemarketing call or text without all consents required by applicable law, including the Telephone Consumer Protection Act (TCPA) and applicable state laws.
  • Send commercial email without legally required sender identification and unsubscribe functionality as required by the CAN-SPAM Act.
  • Contact any person after an opt-out, revocation of consent, or other suppression request.
  • Engage in spam, phishing, harassment, impersonation, or deceptive outreach.
  • Use AI-generated voices or messaging in a manner that violates applicable calling or messaging laws.

Client shall maintain consent and suppression records where required by law and, upon SFR Analytics' reasonable request in connection with a complaint or investigation, certify compliance with this section. Client is solely responsible for ensuring that any outreach conducted using contact information obtained through the Services complies with all applicable federal, state, and local laws, including Do Not Call registry requirements.

6.5 AI and Model Use Restrictions

Client shall not, and shall not permit any third party to, use the Services, SFR Data, or outputs derived therefrom:

  • To train, fine-tune, distill, benchmark, evaluate, validate, or improve any machine-learning model, foundation model, embedding model, ranking model, or other AI system.
  • As input to any public or shared AI tool, model, or service that retains, learns from, or uses such data for the benefit of persons other than Client.
  • To create benchmark datasets, retrieval corpora, vector databases, model weights, synthetic training data, or derivative datasets for third-party use.
  • To develop or improve any competing data, analytics, search, or AI-enabled product or service.
  • In any manner that exposes SFR Data to an open AI environment or other environment accessible by unaffiliated third parties.

Any use of the Services through an Authorized Application must occur in a manner that prevents the Authorized Application provider from acquiring rights in SFR Data beyond processing on Client's behalf.

7. Privacy, Security, and Service Data

  • Integration with the Privacy Policy. Clients are expected to review and understand the Privacy Policy, which outlines how personal information is collected, used, and shared.
  • Protection of deal information. Deal information will be safeguarded in accordance with best practices to ensure data privacy and integrity.
  • All Clients must maintain confidentiality of sensitive information, including but not limited to, deal listings, proprietary data, and other materials labeled as confidential. Unauthorized disclosure may result in termination of service and potential legal action.

7.1 Service Telemetry, Personalization, and Billing

SFR Analytics may collect and retain records relating to Client's use of the Services, including account and API-key identifiers, user and account associations, tool invocations, request parameters, timestamps, IP addresses, device and client metadata, performance and error logs, usage volumes, and billing events ("Service Telemetry").

SFR Analytics may use Service Telemetry to:

  • Provide, maintain, and secure the Services.
  • Authenticate users and API keys.
  • Detect, prevent, and investigate abuse, fraud, and security incidents.
  • Provide technical support and troubleshoot issues.
  • Personalize responses based on Client settings and subscription tier.
  • Measure and bill for usage.
  • Develop aggregated or de-identified analytics regarding use of the Services.

SFR Analytics may associate Service Telemetry with Client's account, authorized users, saved preferences, and subscription records. SFR Analytics will handle Service Telemetry in accordance with its Privacy Policy and may disclose it to service providers and contractors that support hosting, observability, analytics, billing, security, and support.

Billing Changes. If SFR Analytics introduces or changes usage-based fees, overage fees, or metered pricing for API or MCP access, SFR Analytics will provide advance notice through the Services, documentation, or Client account before such changes take effect.

8. Subscription Terms and Termination

8.1 Duration and Renewal

Fees apply through the current billing cycle, and refunds are not provided for partial usage. Clients are encouraged to review their billing details regularly to stay informed of any upcoming charges.

8.2 Termination Process

Clients may cancel their subscription through their account settings. Upon cancellation, all access to premium features will be revoked after the end of the current billing cycle.

9. Proprietary Rights

  • Service protection. SFR Analytics maintains all necessary measures to protect the software and services from unauthorized access, alterations, or disruptions.
  • Content ownership. All content provided by SFR Analytics, including data, software, and materials, remains the intellectual property of SFR Analytics. Clients are granted limited rights for usage as defined under these Terms.
  • Usage limitations. Clients are prohibited from copying, modifying, reverse-engineering, or otherwise tampering with any part of the service without explicit written consent from SFR Analytics.
  • Consequences for violations. Any violation of proprietary rights will result in immediate termination of access and may lead to legal action, including claims for damages.

10. Off-Market Deal Listings

10.1 Listing Requirements

  • Accurate property details. Listings must include full and accurate descriptions, including location, size, features, and any notable conditions of the property.
  • Ownership verification. Clients must provide valid proof of ownership or the legal right to list the property, including any necessary permits or authorizations.
  • Authority documentation. Listing parties must submit documents that prove they have the authority to market the property, such as a power of attorney or listing agreement.
  • All property photos must be authentic, recent, and accurately represent the current state of the property. Use of stock images or misleading visuals is strictly prohibited, and photos should be updated if significant changes occur.
  • Document validity. All supporting documents, including permits, deeds, and proof of ownership, must be valid and up to date at the time of listing submission.

11. Disclaimers and Limitations

11.1 General Disclaimer

SFR Analytics provides information "AS IS" without warranty. Users must independently verify accuracy.

11.2 AI-Mediated Data Disclaimer

When SFR Data is accessed through AI assistants, MCP integrations, or other Authorized Applications, the data may be summarized, interpreted, or reformatted by the AI application. SFR Analytics is not responsible for how third-party AI services interpret, summarize, combine, or present SFR Data. Clients should verify all data and analyses against the primary SFR Analytics platform before making any business, investment, or lending decisions.

11.3 No Professional Advice

The Services, SFR Data, and any summaries, rankings, recommendations, or analyses generated by or through AI-assisted workflows are provided for informational purposes only. They do not constitute investment advice, lending advice, brokerage advice, appraisal services, legal advice, tax advice, or any other professional advice, and are not a substitute for Client's independent diligence and judgment. SFR Analytics is not a registered investment adviser, broker-dealer, or appraiser.

11.4 Not for Consumer Eligibility Decisions

Unless SFR Analytics expressly agrees otherwise in writing, Client shall not use the Services, SFR Data, or outputs as a "consumer report" or for consumer credit eligibility, employment screening, tenant screening, insurance underwriting, or other decisions governed by the Fair Credit Reporting Act (FCRA) or analogous state or federal law.

11.5 Off-Market Deal Disclaimer

SFR Analytics does not verify all property information submitted by Clients. It is the responsibility of Clients to ensure the accuracy and completeness of all information provided.

  • No representations are made about deals.
  • No guarantee of transaction completion.
  • Not a party to negotiations.
  • No legal advice provided.

11.6 Limitation of Liability

SFR Analytics and its providers are not liable for:

  • Direct or indirect damages.
  • Lost opportunities.
  • Transaction failures.
  • Information inaccuracies.
  • Third-party actions.
  • Decisions made based on AI-interpreted or AI-summarized SFR Data.
  • Actions taken by third-party AI services or Authorized Applications.

12. Indemnification

The Client agrees to defend, indemnify, and hold harmless SFR Analytics and its data suppliers from claims, investigations, damages, penalties, fines, and expenses (including reasonable attorneys' fees) arising from:

  • Service usage, including use through Authorized Applications.
  • Deal listings and transaction activities.
  • Outreach or marketing activities conducted using contact information obtained through the Services.
  • Violation of calling, texting, email, privacy, or consumer-protection laws.
  • Prohibited AI or model-training use of SFR Data.
  • Discriminatory or unlawful targeting.
  • Use of the Services for prohibited consumer eligibility or competitive purposes.
  • Information sharing and platform communications.

13. Legal Framework

13.1 Choice of Law

  • Governed by California law.
  • State and federal court jurisdiction.
  • Client consent to jurisdiction.

13.2 Dispute Resolution

  • Mediation requirement.
  • Arbitration provisions.
  • Court proceedings.
  • Fee allocation.

14. Miscellaneous Terms

  • Waiver limitations. Failure by SFR Analytics to enforce any part of these Terms does not constitute a waiver of its rights to enforce other provisions at a later date.
  • Rights reservation. SFR Analytics reserves all rights not expressly granted under these Terms. Clients may not assume any rights or permissions beyond what is explicitly provided.
  • Severability. If any part of these Terms is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Term validity. These Terms will remain in effect as long as the Client uses the service, with provisions relating to confidentiality, proprietary rights, and liability continuing after termination.

15. Consent and Agreement

By using the service, you agree to:

  • All terms and conditions.
  • Platform rules and guidelines.
  • Deal listing requirements.
  • Communication protocols.
  • Contact data and outreach restrictions.
  • AI and model use restrictions.
  • Usage restrictions.

This Terms & Conditions document is effective as of March 6, 2026, superseding all previous versions.
